Equipment leasing agreements, Venue Partner listing & verification rules, subscriber obligations, lock-in periods, security deposits, and platform governance terms for ARUVA.
Introduction
Welcome to www.aruva.in (the "Website"). By accessing or using this Website, you agree to comply with and be bound by the following terms and conditions ("Terms"). If you do not agree to these Terms, please do not use this Website.
1. Use of Website
You agree to use the Website solely for personal, lawful, and legitimate business purposes related to the leasing or renting of movable assets by ARUVA. You agree not to:
- Engage in any activity that is unlawful, fraudulent, or harmful to the Website or its users;
- Attempt to gain unauthorized access to the Website, user accounts, or computer systems connected to the Website;
- Disrupt or interfere with the security, integrity, or performance of the Website;
- Upload or distribute any viruses, malware, or other harmful software;
- Impersonate any person or entity or misrepresent your affiliation with a person or entity.
ARUVA reserves the right to suspend or terminate access to the Website for any user who violates these Terms or engages in any prohibited activities.
2. Applicability
These Terms shall apply to the following persons:
- Visitor
- Subscriber
- Lessor
- Lessee
- Venue Partner
- Client / Prospect / Prospective Client
3. Terms of Lease
The terms of lease shall be defined and crystalized as per the duly executed Lease Agreement between the Lessor and the Lessee.
4. Payment Terms
a) Lease Rent: The Lessee shall pay the Lessor a Lease Rent in accordance with the terms set-forth under the respective Lease Agreement.
b) Currency: The currency in which payments will be made is INR for all Indian Customers.
c) Tax Responsibilities: The Lessee/ Client shall be solely responsible for the payment of all applicable taxes, including GST or any statutory tax obligations.
d) Payment Adjustments: ARUVA reserves the right to rectify any payment discrepancies, overpayments, or underpayments.
5. Lock-in-Period & Security Deposit
a) Lock-in Period: Mandatory lock-in period applies as per Lease Agreement. Unilateral termination during lock-in leads to deposit forfeiture.
b) Security Deposit: Refundable within 15 business days after lease maturity/termination, subject to inspection for damages or unpaid dues.
6. Ownership of the Equipment
All equipment provided under Lease Agreements remains the sole property of the Lessor. Lessor retains full right to withdraw equipment upon contract termination.
7. Subscribers' Obligations
Subscribers must submit valid KYC, maintain truthful account credentials, and secure account login information.
8. Lessees' Obligations
Lessees must operate equipment solely for intended purposes, maintain good working condition, and abstain from unauthorized subleasing or transfer.
9. Lessor's Obligations
Lessor is responsible for routine maintenance, minor repairs, and obtaining comprehensive asset insurance.
10. Venue Partner Listing & Operational Policy
10.1. Mandatory Listing Fields:
- Venue Style & Max Capacity
- Location Pin
- Vibecheck (*at least one selection required)
- Amenities (*at least one selection required)
- Suitable for (*at least one selection required)
- Upload Venue Photos (*Cover Photo mandatory)
- Bank Details (*at least one valid UPI ID)
- Upload Venue Document (*Rent Agreement, Sale Document, or Declaration from Govt/Builder Organisation)
10.2. Venue Verification Steps:
- Automated check verifying all mandatory fields are completed.
- Legal Name verification.
- Document of Legal Name (establishing relation between Venue Partner Name and Venue Legal Name).
10.3. Artist Booking Flow for Venue Partners:
- Event Name, Date & Time.
- Select Venue (*Venue Partner must create at least one venue to start booking artists).
- Select Event Type.
- Artist Selection (Default filter:
Type of Event > City > Availability. Unbookable artists on platform displayed greyed out with non-clickable profiles).
10.4. Event Listing & Management Rules:
- Only Confirmed Bookings can be converted into Events.
- Mandatory Event Steps: Event Name, Date/Time, Venue Selection, Bio, Event Flyer, Ticket Type, Review & Publish.
- Editable Tabs after Event Creation: Event Bio & Gate Management person contact Add/Edit.
10.5. Rescheduling & Cancellation Terms for Venues:
- Rescheduling (8 to 45 days prior): Nil charges.
- Rescheduling (0 to 7 days prior): Rescheduling disabled.
- Cancellation (0 to 45 days prior): Nil cancellation fee to venue partner (subject to client cancellation rules).
11. Communication by Clients/Subscribers
Professional conduct is required in all communications with ARUVA staff. Abusive language or harassment leads to immediate account termination.
12. Upgradation or Amendment of Terms
Terms & Lease Agreements may be amended in writing upon layout changes, equipment upgrades, or property ownership changes.
13. Compliance with Platform Policies
All parties agree to comply with ARUVA platform guidelines and cooperate with investigations into policy violations.
14. Termination
Termination by mutual agreement (30 days notice after lock-in), option without cause (30 days notice), or for cause (15 days cure notice).
15. Maintenance of Transparency
Parties commit to maintaining open business communication and early notice regarding operational changes.
16. Dispute Resolution & Arbitration
Disputes shall first be negotiated mutually. If unresolved, disputes shall be referred to sole arbitrator under Indian Council of Arbitration (ICA), New Delhi in accordance with the Arbitration & Conciliation Act, 1996.
17. Undertaking
Parties agree to use ARUVA solely for intended lawful purposes and comply with all applicable Indian regulations.
18. Assignment
Neither party may assign rights or transfer obligations without prior written consent.
19. Privacy Policy
Governed by our Privacy Policy.
20. Links to Third-Party Sites
ARUVA assumes no liability for content or privacy policies of third-party websites.
21. Force Majeure
Exemption from liability for delays caused by natural disasters, strikes, or government mandates.
22. Confidentiality
Parties shall maintain strict confidentiality regarding proprietary business operations and data.
23. Headings and Sub-headings
Headings are for convenience only and do not affect contractual interpretation.
24. Changes to Terms
ARUVA reserves the right to modify these Terms at any time upon notice via website/app.
25. Governing Law
Governed by the laws of India. Courts of Delhi have exclusive jurisdiction.
